1. Who XtraDrivers Is For

XtraDrivers is a collaboration and payment facilitation platform built exclusively for FedEx Independent Service Providers (“ISPs”) who want to share drivers between operations and monetize available driver capacity.

2. Account Registration

You must:

• Provide accurate company and contact information.
• Be a verified FedEx ISP or an authorized representative.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your account.

3. Nature of the Platform

XtraDrivers enables ISPs to:

• Add and manage their own drivers within the Platform.
• Set daily rates and availability for each driver.
• View available drivers from other ISPs in the network.
• Send, receive, approve, or decline driver share requests.
• Use secure payment processing for confirmed driver days between ISPs.

XtraDrivers is NOT a staffing agency, employer, or labor provider. All drivers remain employees or contractors of their original ISP at all times. TechIdeas LLC does not hire, train, supervise, or manage drivers.

4. Role of TechIdeas LLC

TechIdeas LLC operates XtraDrivers.com as a neutral technology provider. Our role is limited to:

• Providing the digital infrastructure for ISPs to coordinate driver sharing.
• Processing payments from requesting ISPs to providing ISPs.
• Maintaining platform functionality, security, and availability.

We do not control ISP operations, routes, or driver performance. We are not responsible for ensuring compliance with FedEx standards, DOT regulations, or any local, state, or federal laws related to employment or transportation.

5. Payments Between ISPs

When a driver share is approved through XtraDrivers:

• The requesting ISP pays the driver’s daily rate through XtraDrivers for each confirmed driver day.
• XtraDrivers collects the payment, deducts the applicable platform fee, and automatically pays the providing ISP.
• The providing ISP remains fully responsible for compensating their driver using their normal payroll or contractor process.

Payments are processed via third-party payment providers (such as Stripe or similar services). By using the Platform, you authorize TechIdeas LLC to charge your selected payment method for all confirmed transactions and applicable fees.

6. Fees

XtraDrivers may charge per-transaction platform fees and other service fees as disclosed within the Service. All fees are non-refundable once a driver day is confirmed and completed between ISPs, unless otherwise stated in writing by TechIdeas LLC.

7. ISP Responsibilities

Each ISP using the Platform agrees to:

• Ensure that all shared drivers meet FedEx requirements and applicable legal standards.
• Provide accurate and current driver information, including availability and daily rates.
• Honor approved driver-date commitments unless a mutual cancellation agreement is reached.
• Use driver and ISP data only for legitimate operational purposes related to FedEx ISP work.
• Not misuse or improperly disclose data obtained through XtraDrivers.

8. Relationship Between ISPs

Any arrangement between ISPs—including driver onboarding, responsibilities, supervision, compliance requirements, insurance, and any local agreements—is strictly between those ISPs. TechIdeas LLC is not a party to such arrangements and does not mediate or resolve disputes between ISPs or between ISPs and drivers.

9. Limitation of Liability

To the fullest extent permitted by law, TechIdeas LLC, XtraDrivers, and their employees, officers, and affiliates shall not be liable for:

• Driver performance, conduct, or misconduct.
• Compliance failures by any ISP or driver.
• Operational errors, missed routes, delays, or service failures.
• Employment disputes, payroll issues, or contractor disputes.
• Any indirect, incidental, special, or consequential damages.

Your sole remedy for dissatisfaction with the Platform is to stop using the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless TechIdeas LLC, XtraDrivers, and their officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or connected to:

• Your use of the Platform.
• Your drivers and their actions or omissions.
• Your disputes with other ISPs or third parties.
• Your breach of these Terms or applicable laws.

11. Governing Law

These Terms and any dispute related to your use of XtraDrivers.com shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law rules.

12. Changes to These Terms

TechIdeas LLC may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
